Topic: Preparing Your Company's Due Diligence Material

A company’s chances of securing equity investment or debt will dramatically increase if the company understands what the investor needs to review, and is prepared to provide it in a well-organized format.

List of Due Diligence Material to be discussed:

- Company bylaws / organizational agreement
- Company minutes / resolutions
- Capitalization table
- Significant company agreements -employment, consultant, lease, etc
- Buy / sell agreements
- Copies of any issued patents
- Pre-money company valuation analysis
- Revenue visibility list
- Source and use of funds spreadsheet by quarter
- Cash Flow Forecast

Most all companies handle this phase of the investment process in a reactive fashion. By preparing company due diligence materials (including pre-post money valuation) ahead of time and making them available in both paper and CD-Rom format, a company will stand out for having strong attention to detail and good record-keeping.
